Terms and Conditions RED PANDA

RED PANDA Properties (“RED PANDA” for short) is a service company based in Germany, which enables prospective real estate buyers to acquire real estate worldwide or to use it temporarily (long-term rental, leasing, temporary use, etc.).

The primary task of RED PANDA is to organize and carry out all necessary supporting measures for the purchase and sale or the temporary use of real estate, primarily on an international scale.

RED PANDA provides all services to the best of its knowledge and belief. However, RED PANDA assumes no liability for the correctness of the information provided by the respective providers and interested parties.

RED PANDA provides an internet-based platform for suppliers and interested parties on which the objects can be presented and researched.

RED PANDA accompanies interested parties individually in all property-related questions, starting with the selection of the property, through the provision of the required information and documents, to the organization of the necessary appointments and service providers.

RED PANDA charges a service fee for the services provided.

Due to the aforementioned activity, RED PANDA maintains business relationships with both private or commercial prospective buyers as well as to private and commercial real estate providers or their agents. Other business relationships exist with various service providers, which are involved as required in the context of the respective process (e.g. architects, insurance brokers, financiers and others).

RED PANDA is not responsible for the content and correctness of the information transmitted by the respective provider or interested party, but tries to prevent dubious offers and incorrect information. Providers and/or interested parties who knowingly provide false and/or non-market information can be irrevocably and permanently excluded from using the RED PANDA platform by RED PANDA at its own discretion and at a time specified by RED PANDA.

Any claims for damages by RED PANDA or other parties involved remain unaffected by this exclusion.

A possible claim for damages by the user of the platform who is excluded from use does not arise from this.

The business relationships between the provider and the customer are subject to the law of the Federal Republic of Germany. For consumers, this choice of law only applies insofar as the protection granted by mandatory provisions of the law of the state in which the consumer has his habitual residence is not withdrawn. The validity of UN purchasing law is excluded.

§1 Features of RED PANDA

1.1

RED PANDA is primarily a service provider for real estate providers and real estate interested parties in an international environment.

1.2

RED PANDA reserves the right to act as a real estate agent itself in exceptional cases to be.

1.3

RED PANDA also supports in the national and international environment with the Organization of partnerships in the commercial environment, especially in the initiation and implementation of joint ventures, supply relationships, cooperation, etc.

§2 Scope of services:

Organization of all necessary appointments and agreements in connection with

  • Obtaining all the necessary information on the object/objects in question
  • Communication with the suppliers, interested parties and service providers involved
  • Organization of all necessary consultations, inspection, notary and authority appointments
  • Organization and provision of interpreters

§3 Scope of services of Talisman Reisen, another organizational unit within the group of companies (legally: sister company of "RED PANDA")

Worldwide organization (optionally bookable):

  • travel to the objects and return journey
  • the required transfers
  • the stay on site
  • travel within the relevant region or country
  • Associated or separate additional Recreational Stays

The required services are provided by Talisman Travel according to each applicable general terms and conditions of Talisman Reisen individually organized and carried out according to customer requirements and settled. They can be used independently of the RED PANDA service package.

§4 Use of the "RED PANDA" platform, rights and obligations of providers and users

4.1

Both providers of real estate and interested parties are permitted to use the data provided by RED PANDA Platform provided for posting offers or searching for to take advantage of real estate offers. Vendors may, at their own discretion, real estate through the offer the RED PANDA platform, there are no specifications regarding the number, object properties and price classes of the objects

4.2

All attempts at improper, improper use and in particular all attempts at manipulation of the data not authorized by RED PANDA represented objects, their properties, prices, the range of services or the platform itself.

4.3

4.5

The data and information provided by RED PANDA, in particular contact details of the providers and users or interested parties as well as the service providers involved, are intended exclusively for the respective users. 4.6

Furthermore, RED PANDA reserves the right to exclude the respective user from any time specified by RED PANDA.

4.7

Unless otherwise agreed, real estate offers will only be accepted after approval RED PANDA published on the platform. RED PANDA reserves the right to reject any offers deviate significantly from normal market conditions, not to be published and request the provider to make the necessary corrections / adjustments.

4.8

Providers and interested parties are obliged to provide all information in connection with the truthfully portray the objects in question. §5 Prices and Costs

5.1

The prices shown on the RED PANDA platform are made up as follows:

  • Original price of the provider of the property
  • the object-related price collected by RED PANDA service fee

5.2

The service fee or brokerage fee charged by RED PANDA is based on the original offer price of the property set during the first activation on the RED PANDA platform. Subsequent adjustments to the object price, deviating from initial offer, do not affect those established and collected by RED PANDA service fees.

5.3

Services included in the basic service of RED PANDA (basic package):

  • Procurement of all necessary information on the object(s) in question
  • Objects including the associated inquiries and detailed information
  • Carrying out correspondence between the parties involved
  • Coordination of the necessary appointments
  • Viewing appointments (2 days)
  • Interpreter appointments (2 days: 1 day inspection appointment + notary OR 2 days with visits)
  • Organization of 1 notary appointment
  • Additional useful information about the country, the urban environment, any building regulations, etc.

5.4

Costs not included in the basic package:

  • Brokerage fees for the brokers used by providers and/or interested parties or natural or legal persons commissioned by them.
  • These are negotiated individually between providers and interested parties or by the brokers/agents involved and are not part of the services and costs of RED PANDA
  • Costs for additional services outside the defined basic scope of services
  • Official costs, fees, acquisition costs, other ancillary costs in connection with the respective property, etc.
  • Notary's expenses

5.5

Optional services to be booked in addition to the basic package (additional costs):

  • Architectural services
  • Handyman services
  • Organization of additional appointments in addition to the basic package, e.g. with authorities, energy and water supply companies, etc.
  • Additional interpreter assignments and/or notary appointments
  • Obtaining insurance quotes
  • Other organizational measures not directly related to the acquisition or use of the property
  • special projects on customer request

5.6

Transaction Costs

  • Registration as a provider or user on the platform provided by RED PANDA is free of charge
  • With every sale or brokerage of an object published on the platform, in which the combination between the provider and the interested party/customer was most likely or caused by the publication on the platform described here, RED PANDA is entitled to a service fee in the amount specified in Annex #1 to these GTC.
  • The transaction costs accrue per object
  • The transaction costs are to be paid by the interested party

5.7

Eligibility for brokerage and transaction fees

A claim to brokerage commission for RED PANDA arises under the following conditions:

  • The conclusion of the contract is most likely or causally concluded via the "Red Panda" platform
  • Providers and buyers are private individuals or legal entities or natural or legal entities commissioned by them who have a close personal or legal relationship with the provider or buyer
  • There is no broker commissioned by these parties on the side of the customer or on the side of the provider

Entitlement to transaction costs for the use of the RED PANDA platform arises on the condition that providers and buyers or their agents conclude contracts using the Red Panda platform.

5.8

Insofar as the contact between the provider and the user/customer is not mediated by the       platform "RED PANDA" has come about, providers and/or users have to but at the latest within 7 calendar days after receipt of the invoice to RED PANDA to prove in writing (by letter or e-mail) that the property-related contact BEFORE the use of the RED PANDA platform. Is this information not given or not punctually, RED PANDA's claim to remuneration continues to exist in full.

5.9

Architectural Services

Architectural services can be booked optionally on customer request and are not part of theBasic pack of RED PANDA.

Scope of architect services:

  • up to 3 object drafts at a fixed price
  • Development of a preferred proposal selected from the drafts through to the finished project including dimensioning, area calculations and views

Architectural services costs:

  • Favorable fixed price in accordance with Annex #1 to these General Terms and Conditions for properties with a total area per property of up to 200 m² of living and/or usable space
  • for larger or special requirements: individual costs in agreement between the architect employed by RED PANDA and the client

§6 Currency, exchange rate risk

6.1

The prices shown on the RED PANDA platform are based on €. Prices in the respective       providers must also display their home currency in €.

6.2

RED PANDA calculates arising costs and service fees exclusively on basis the currency "€". Any exchange rate fluctuations are at the expense of the respective debtor. Reference date for each of the debtor to RED PANDA and the commissioned service providers with debt-discharging effect is the respective amount invoice date of the invoice created by RED PANDA depending on the key date applicable, respective stock exchange price.

6.3

Other currency risks, in particular with regard to incidental costs incurred locally at the expense of the interested party.

§7 Terms of payment, payment modalities

7.1

All service fees and other costs charged by RED PANDA are due for payment within 10 days without deduction.

7.2

RED PANDA reserves the right to refuse invoices in full under certain conditions Conclusion of (notarial) purchase, rental, leasing or other usage contracts or completely rendered services in full, alternatively as partial invoices, to be invoiced (advance payment, deposits and payments on account).

7.3

RED PANDA reserves the right to charge for non-payment or late payment of the invoice provided service fees:

  • to block the respective user of the platform temporarily or permanently from further use of the platform
  • to deactivate or delete all further offers of the respective provider
  • deactivating or deleting watch lists of providers and/or interested parties
  • Initiate necessary extrajudicial or judicial measures to collect claims
  • if necessary, conclude commercial credit insurance contracts to secure the receivables and, in this context, report the debtors of the receivables with the corresponding negative characteristics to the service provider(s) on the basis of the contractual obligations

§8 Data protection

The personal data collected during the activities of RED PANDA are subject to the strict rules of European legislation and in particular the German General Data Protection Regulation (GDPR). Red Panda only uses personal data for the business purpose described in these General Terms and Conditions.

§9 Cancellation policy for consumers

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason withdraw. The cancellation period is fourteen days from the day the contract was concluded.

To meet the cancellation deadline, it is sufficient for you to send the notification in legible writing via the exercising the right of withdrawal before the end of the withdrawal period with a fully specified date and send signature or digital signature.

§10 severability clause

Should individual provisions of this contract be ineffective or unenforceable or conclusion of the contract becomes ineffective or impracticable, the effectiveness of the otherwise unaffected by the contract.

§11 Acknowledgment of the General Terms and Conditions

Each user declares himself by creating his own user ID and associated access data with the agreements of the present terms and conditions as well as the costs or fees according to Annex #1 and expressly acknowledges them.

§12 Disputes

All disputes related to this Agreement shall be settled amicably. If an amicable agreement is not reached, the exclusive place of jurisdiction is Leipzig, Federal Republic of Germany.

In addition to this agreement, the law of the Federal Republic of Germany applies.

§13 Translations or versions of the General Terms and Conditions, which are not were written in German

All versions in other languages ​​that deviate from the German-language version of the GTC other than German are to be regarded as translations. These versions have been made to the best of our knowledge and conscience translated. In principle, however, only the current version is valid version in German.

To ensure the cancellation period is upheld, it is sufficient to inform us of your decision to exercise the right of cancellation before the cancellation period has elapsed.

Results of cancellation
If you cancel this contract, we are obliged to reimburse all payments that we have received from you, including delivery costs (excluding additional costs which arose from your selection of a delivery method other than the one we offered as the cheapest standard delivery option) immediately, and within a maximum of 14 days after we receive notice of your decision to cancel this contract. We will use the same payment method for reimbursement that you employed for the original transaction, unless we have expressly agreed upon another method; under no circumstances will any charges arise from this reimbursement.

If you requested for the service to start within the cancellation period, you are obliged to pay us an appropriate sum, which corresponds to the proportion of the services already provided up to the point at which you inform us of the decision to exercise the right to cancel with regard to this contract, in comparison with the overall scope of the services agreed upon in the contract.
